Seller Terms and Conditions
1. Introduction
This Agreement governs the relationship between PAYLIT TECHNOLOGY PRIVATE LIMITED (“Company,” “we,” “us,” or “our”) and individuals or entities (“Seller” or “you”) who wish to register and sell products through our online marketplace platform (shopnion.com). By enrolling as a seller, you agree to comply with these terms along with our Privacy Policy, Refund Policy, Shipping Policy, and other relevant guidelines.
Please review these terms carefully before proceeding. If you disagree with any part, you should not register or sell on our platform.
2. Seller Eligibility & Account Setup
2.1 Eligibility: Sellers must be legally registered businesses within India (such as proprietorships, partnerships, LLPs, or private limited companies) with a valid GST registration (if applicable) and a bank account registered under the business name.
2.2 Registration: To register, sellers must submit accurate and current information during sign-up and provide all required documents for verification.
2.3 Account Security: Sellers are responsible for safeguarding their login credentials and must promptly notify us of any unauthorized account activity.
3. Product Listings & Compliance
3.1 Listing Standards: Sellers must ensure all product listings are truthful, comply with Indian regulations, and include clear details such as product name, description, images, price, stock availability, shipping details, and applicable taxes.
3.2 Intellectual Property: All products must respect third-party intellectual property rights and adhere to consumer protection laws.
3.3 Prohibited Items: The platform strictly prohibits listing counterfeit goods, illegal items, hazardous materials, or products deemed offensive or inappropriate.
3.4 Enforcement: We reserve the right to remove or suspend any listing violating our policies or legal requirements.
4. Pricing & Fees
4.1 Pricing Responsibility: Sellers set their product prices, which must include all applicable taxes and fees.
4.2 Commission: We charge a commission on sales, detailed in your seller agreement, which will be deducted before payment disbursement.
4.3 Transaction Fees: Payment gateway charges will be deducted from your proceeds.
4.4 Taxes: Sellers bear responsibility for all taxes related to their sales, including GST.
5. Order Handling & Shipping
5.1 Order Processing: Sellers must process and dispatch orders promptly—typically within 48 hours—subject to stock availability.
5.2 Shipping: Proper packaging and timely shipment through reliable domestic couriers are mandatory. Delivery commitments typically range from 2 to 7 days post-shipment.
5.3 Shipping Costs: Sellers may charge customers for shipping, which must be clearly disclosed prior to purchase.
5.4 Cancellations: Orders cannot be canceled once dispatched. Post-shipment issues are resolved via our Returns and Refunds Policy.
6. Returns, Refunds & Customer Service
6.1 Returns Compliance: Sellers must follow our Returns and Refunds Policy and promptly manage any returns or refunds.
6.2 Customer Support: Prompt and professional handling of customer inquiries and complaints is required.
6.3 Refund Processing: Refunds will be managed according to policy and legal guidelines.
7. Payments & Settlement
7.1 Payment Processing: Sales proceeds, minus commissions and fees, will be paid via our payment gateway.
7.2 Settlement Schedule: Payments are transferred within the timeframe specified in your seller contract, generally after confirmation of order fulfillment and delivery.
7.3 Refunds & Chargebacks: Refunds and chargebacks will be deducted from pending payments.
7.4 Tax Responsibility: Sellers must comply with all applicable tax laws and ensure proper filing.
8. Seller Responsibilities
8.1 Legal Compliance: Sellers must adhere to all relevant Indian laws, including consumer and tax regulations.
8.2 Product Quality: Only genuine, high-quality goods should be offered. Sellers are liable for warranties, repairs, replacements, or refunds as per the law.
8.3 IP Compliance: Sellers warrant that their products and listings do not infringe on third-party rights.
8.4 Data Protection: Customer data must be handled in accordance with our Privacy Policy and applicable laws.
9. Suspension & Termination
9.1 Account Suspension: We may suspend or disable seller accounts for violations of these terms, non-fulfillment of orders, unethical or unlawful actions.
9.2 Termination by Seller: Sellers may request account closure, subject to clearance of outstanding orders and payments.
9.3 Post-Termination Obligations: All contractual obligations remain enforceable after termination.
10. Limitation of Liability
10.1 Platform Role: We act solely as a marketplace facilitator and are not responsible for product quality, legality, or seller conduct.
10.2 Indemnification: Sellers agree to indemnify us against claims arising from their use of the platform, including IP infringements or violations of law.
11. General Provisions
11.1 Force Majeure: We are not liable for delays or failures due to causes beyond our reasonable control.
11.2 Dispute Resolution: Disputes will be governed by Indian law and resolved via arbitration under Indian jurisdiction.
11.3 Governing Law: This Agreement is governed by Indian law.
